Welcome to VoxAI. These Terms of Service ("Terms") govern your access to and use of the VoxAI mobile application ("App", "Service", "we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

By creating an account or using VoxAI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

2.1 Age Requirements

You must be at least 13 years of age to use the App. If you are under 18, you must have permission from a parent or legal guardian.

2.2 Account Registration

To use the App, you must create an account using Sign in with Apple. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account

3. License and Use

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use.

3.2 Restrictions

You agree NOT to:

Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or disassemble the App
Remove or alter any copyright, trademark, or proprietary notices
Use the App for any illegal or unauthorized purpose
Interfere with or disrupt the App's servers or networks
Attempt to gain unauthorized access to any part of the App
Use automated systems or bots to access the App
Resell, rent, lease, or sublicense the App or its services

4. User Content

4.1 Your Recordings

You retain all ownership rights to the audio recordings and content you create using the App ("User Content"). By using the App, you grant us a limited license to:

Process your audio recordings for transcription purposes
Store your recordings and transcriptions on our servers
Use aggregated, anonymized data to improve our services

4.2 User Responsibilities

You are solely responsible for your User Content and represent that:

You own or have necessary rights to the content you record
Your content does not violate any laws or third-party rights
Your content does not contain malicious code or harmful materials

4.3 Prohibited Content

You may not use the App to record or create content that:

Infringes on intellectual property rights
Contains hate speech, threats, or harassment
Promotes illegal activities
Contains explicit sexual content or child exploitation material
Violates any applicable laws or regulations

5. Service Features

5.1 Transcription Service

We provide audio-to-text transcription services
Transcription accuracy may vary depending on audio quality, accents, and background noise
We do not guarantee 100% accuracy of transcriptions

5.2 Storage

We provide cloud storage for your recordings and transcriptions
Storage limits may apply based on your subscription plan
We reserve the right to modify storage limits with notice

5.3 Service Availability

We strive to maintain service availability but do not guarantee uninterrupted access
Scheduled maintenance and updates may temporarily affect service availability
We are not liable for any service disruptions or data loss

6. Subscription and Payment

6.1 Free and Paid Features

The App may offer both free and paid subscription features. Paid features are subject to the pricing and terms presented at the time of purchase.

6.2 Payment Terms

All purchases are processed through Apple's App Store
Payment terms are governed by Apple's Terms and Conditions
Subscription fees are billed in advance on a recurring basis

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your Apple ID settings
Refunds are subject to Apple's refund policy
We do not provide refunds for partial subscription periods

7. Intellectual Property

7.1 Our Rights

The App, including its design, features, graphics, and software, is owned by us and protected by copyright, trademark, and other intellectual property laws.

7.2 Trademarks

VoxAI and associated logos are our trademarks. You may not use our trademarks without prior written permission.

7.3 Feedback

If you provide feedback or suggestions about the App, we may use them without any obligation to you.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

9.1 Sign in with Apple

Authentication services are provided by Apple Inc. Your use of Sign in with Apple is subject to Apple's terms and policies.

9.2 Third-Party Links

The App may contain links to third-party websites or services. We are not responsible for the content or practices of third-party sites.

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

Deleting your account within the App
Uninstalling the App from your device

10.2 Termination by Us

We may suspend or terminate your access to the App if:

You violate these Terms
You engage in fraudulent or illegal activities
We are required to do so by law
We discontinue the Service

10.3 Effect of Termination

Upon termination:

Your license to use the App will end immediately
We may delete your account and User Content
Provisions that should survive termination will remain in effect

11. Disclaimers

11.1 "AS IS" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Guarantees

We do not guarantee that:

The App will meet your requirements
The App will be uninterrupted, timely, secure, or error-free
Transcription results will be accurate or reliable
Any defects will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

Your use or inability to use the App
Any unauthorized access to or use of our servers
Any interruption or cessation of the Service
Any bugs, viruses, or harmful code transmitted through the App
Any errors or omissions in content or transcriptions
Any User Content or conduct of third parties

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless VoxAI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Your access to or use of the App
Your User Content
Your violation of these Terms
Your violation of any rights of another party

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms in the App
Sending an in-app notification
Updating the "Effective Date" at the top of this document

Your continued use of the App after changes become effective constitutes acceptance of the modified Terms.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Applicable Jurisdiction], without regard to its conflict of law provisions.

15.2 Arbitration

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except where prohibited by law.

15.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VoxAI regarding the App.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.

18. App Store Terms

Your use of the App is also subject to the terms and conditions of the Apple App Store. In the event of a conflict between these Terms and the App Store terms, the App Store terms shall prevail with respect to your use of the App through the App Store.
